INTRODUCTION TO THESE TERMS

Universal Yums provides a Shopify-enabled shopping experience comprising this store, website, information, content, tools, features, products, and related services, collectively the “Services.” References to “we,” “us,” and “our” identify Universal Yums. The following Terms and referenced policies govern Service use and contain important legal-right, warranty, and liability provisions. Access or interaction means acceptance of the Terms and Privacy Policy; anyone who disagrees must stop using the Services.

SECTION 1 - AGE, CREDENTIALS, AND ACCOUNT USE

You state that you are an adult under the law of your state or province and authorize minor dependents to use the Services on devices under your ownership, purchase, or management. We may ask for email, payment, billing, and delivery information for browsing, access, or purchases. You promise it is correct, current, complete, and lawfully supplied. Securing credentials and all account conduct is your responsibility. You cannot sell, assign, transfer, or license the account.

SECTION 2 - MERCHANDISE DESCRIPTIONS AND LIMITS

We make reasonable efforts to show merchandise and services faithfully, yet screens, devices, configurations, and settings can alter appearance and color. No assurance is made that quality or appearance will match a display or satisfy expectations. In our discretion, descriptions can be revised without notice, products discontinued, and quantities restricted for particular people, places, or jurisdictions.

SECTION 3 - PLACING AND CONFIRMING ORDERS

An order submission offers to purchase; it is not acceptance. Universal Yums may reject or accept for any reason, and the order becomes accepted only when we confirm it after receiving and processing payment. Review before submission because cancellation might not be available afterward. For a rejection, change, or cancellation, we will attempt notice through the checkout email, billing address, or phone. Only the Refund Policy governs returns and exchanges. You warrant personal or household use rather than resale or export.

SECTION 4 - CHARGES, PROMOTIONS, AND PAYMENT DATA

We may alter a price, discount, or promotion without notice. The order-confirmation amount effective when placement occurs controls, excluding taxes, delivery, handling, customs, and import charges unless expressly included. Prices may differ in physical locations and third-party channels. Separate promotional conditions prevail over conflicting Terms. Purchase, account, payment, email, card, and expiration information must stay current, complete, and accurate. You warrant that the card is accurate, complete, yours to use, and will be honored, and you must pay posted charges plus relevant shipping, handling, and taxes.

SECTION 5 - SHIPMENT TIMING, TITLE, AND LOSS

All transit and delivery times are estimates, not promises. Carrier delays, customs processing, shipping delays, and circumstances outside our control do not create liability. Risk of loss and title move to you when merchandise is transferred to the carrier.

SECTION 6 - PROTECTED CONTENT AND MARKS

Trademarks, brand elements, words, displays, pictures, graphics, reviews, recordings, video, design, selection, and arrangement within the Services are owned by Universal Yums, an affiliate, or a licensor and protected under domestic and foreign patent, copyright, trademark, and other intellectual-property law. Only personal, noncommercial use is authorized. Prior written permission is required to copy, distribute, alter, create derivatives, display or perform publicly, republish, download, store, or transmit materials. Nothing grants an implied IP license from Universal Yums, Shopify, or another owner; unauthorized use may violate federal and state law, and all unexpressed rights are reserved. Our marks, names, logos, designs, product/service names, and slogans need written approval; Shopify and other owners retain their respective marks.

SECTION 7 - TOOLS PROVIDED BY OTHER COMPANIES

Optional customer tools from outside providers can appear within the Services although we do not supervise, control, or contribute to them. They are accessible “as is” and “as available” with no warranty, condition, representation, endorsement, or resulting liability. You assume the risk and should first approve the provider's terms. Future tools, resources, and features are also Services governed by this agreement.

SECTION 8 - EXTERNAL CONTENT AND DESTINATIONS

Third-party materials, links, or embedded features may be present. We do not assess or guarantee their accuracy or content, and accessing them is your own risk. Harm associated with another site's products, services, resources, content, transactions, or use is not our responsibility. Review the outside provider's rules and practices, and address all claims, complaints, concerns, or questions about its offerings to it.

SECTION 9 - RELATIONSHIP WITH SHOPIFY

Universal Yums is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with Universal Yums. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Universal Yums, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Universal Yums.

SECTION 10 - HOW PRIVACY RULES APPLY

Our Privacy Policy applies to personal information obtained through the Services; Shopify's Privacy Policy can apply to certain information too, and Service use acknowledges both. As host, Shopify processes information about access and use to operate and improve the Services. Submissions are transferred to Shopify and providers that may reside in different countries. Consult our Privacy Policy for details about processing by us, Shopify, and partners.

SECTION 11 - RIGHTS IN SUBMITTED FEEDBACK

Ideas, reviews, suggestions, plans, proposals, and any other feedback you send carry a perpetual, worldwide, sublicensable, royalty-free license allowing us to use, reproduce, adapt, publish, distribute, and display the material in any medium and for any purpose, including commercial Service operation, promotion, evaluation, and improvement. You warrant that you hold the necessary rights, reveal incentives or compensation, and comply with this agreement. We owe no confidentiality, payment, or response. In our discretion we can monitor, edit, or remove feedback that is unlawful, offensive, threatening, defamatory, libelous, obscene, pornographic, otherwise objectionable, IP-infringing, or noncompliant. It must not violate copyright, trademark, privacy, personality, or proprietary rights; be abusive, obscene, libelous, or unlawful; carry viruses or malware; use a false address; impersonate; or misstate its origin. Accuracy and responsibility are yours, and we disclaim liability for any user's or third party's feedback.

SECTION 12 - INFORMATION ERRORS AND ORDER CORRECTIONS

Descriptions, prices, promotions, offers, shipping costs, transit estimates, and availability can contain mistakes, omissions, or typographical inaccuracies. Without advance notice and even after an order is placed, we may correct, revise, or update that information or cancel an order affected by it.

SECTION 13 - ACTIVITIES THAT ARE NOT ALLOWED

Lawful use is mandatory. Prohibited conduct includes malicious or unlawful purposes; violations of international, federal, provincial, state, or local rules; IP infringement; harassment, abuse, insults, harm, defamation, slander, disparagement, or intimidation; false or misleading submissions; exchange of material that violates these Terms; junk mail, chain letters, spam, or similar solicitations; impersonation; and acts that impair others' use, harm Universal Yums, Shopify, or users, or expose them to liability. You must not introduce malicious code; reproduce, duplicate, extract, copy, sell, resell, or exploit Service content; track personal information; spam, phish, pharm, or pretext; use a robot, spider, scraper, extraction system, automatic device, agentic AI, or manual/automated access method; or defeat security, authorization, robot-exclusion, or other access restrictions. Violations may lead to account suspension, disabling, or termination without notice.

SECTION 14 - RULES FOR SOFTWARE AGENTS

14.1 “Agent” means autonomous or semi-autonomous software or a service acting for or at a person's or entity's instruction and capable of execution through a person's device without direct oversight; these Agent Terms apply whenever such an Agent reaches, uses, or interacts with the Services. 14.2 An Agent must identify itself continuously, obey 14.4, and stay away if we request that it stop. 14.3 We may use technical means to control Agent access and conduct. 14.4 All HTTP/HTTPS requests must disclose automation and the Agent name in the user-agent string using “Agent/[agent name]”; an Agent cannot disguise itself, imitate human interaction, bypass CAPTCHA or human/computer distinctions, answer identity checks falsely, or evade any restriction that controls its access or behavior.

SECTION 15 - SUSPENSION AND TERMINATION

At any moment and without notice, we may terminate the agreement or suspend or end any portion of access in our sole discretion. Charges accruing through the effective date remain payable. Terms intended to continue—including Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, and Privacy Policy—survive.

SECTION 16 - SERVICES PROVIDED WITHOUT WARRANTIES

Information on the Services is general; completeness, usefulness, and accuracy are not warranted, so reliance is entirely at the user's risk and we disclaim responsibility. UNLESS Universal Yums EXPRESSLY PROVIDES OTHERWISE, PRODUCTS AND SERVICES ARE OFFERED “AS IS” AND “AS AVAILABLE,” WITHOUT AN EXPRESS OR IMPLIED CONDITION, REPRESENTATION, OR WARRANTY, INCLUDING MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, OR NON-INFRINGEMENT. CONTINUOUS, TIMELY, SECURE, ERROR-FREE OPERATION IS NOT PROMISED. APPLICABLE LAW MAY LIMIT THIS DISCLAIMER.

SECTION 17 - EXCLUDED DAMAGES AND LIABILITY

AS FAR AS APPLICABLE LAW ALLOWS, Universal Yums; ITS AFFILIATES, PARTNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS; AND SHOPIFY AND ITS AFFILIATES HAVE NO LIABILITY FOR INJURY, LOSS, CLAIM, OR DIRECT, INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES. THE EXCLUSION INCLUDES LOST PROFIT, REVENUE, SAVINGS, DATA, REPLACEMENT EXPENSE, AND SIMILAR LOSS UNDER CONTRACT, TORT INCLUDING NEGLIGENCE, STRICT LIABILITY, OR ANOTHER THEORY, ARISING FROM SERVICES, PURCHASES, PRODUCTS, OR CONTENT, INCLUDING ERRORS OR OMISSIONS, EVEN IF THE POSSIBILITY WAS DISCLOSED.

SECTION 18 - DEFENSE AND INDEMNIFICATION

Third-party claims, liabilities, losses, damage, and reasonable legal fees caused by your breach of the Terms or incorporated materials, legal or rights violation, or Service access or use must be defended, indemnified, and held harmless by you for Universal Yums, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and providers. We will give notice; delay affects your duty only if materially prejudicial. At your expense, we may choose counsel and manage defense and settlement, though a non-monetary obligation needs consent that is not unreasonably withheld. Cooperation and relevant records are required.

SECTION 19 - VALIDITY OF THE REMAINING TERMS

If part of these Terms is illegal, void, or unenforceable, it remains effective as far as law permits, and only the defective portion is removed. The remainder continues valid and enforceable.

SECTION 20 - ENFORCEMENT, WAIVER, AND ENTIRE UNDERSTANDING

A right is not waived merely because we delay or decline enforcement. This agreement, together with the policies and operating rules posted for the Services, represents the whole understanding and replaces earlier or simultaneous oral and written communications, proposals, agreements, and Terms versions. Drafting authorship creates no presumption when resolving ambiguity.

SECTION 21 - ASSIGNMENT AND DELEGATION

Without prior written consent, you cannot transfer, assign, or delegate the agreement or a right or duty, and an attempted act is invalid. We may do any of those things without seeking consent or giving notice.

SECTION 22 - JURISDICTION AND GOVERNING LAW

Federal and state or territorial courts in the jurisdiction of Universal Yums's headquarters govern and interpret these Terms and separate Service arrangements. Both parties submit to the venue and personal jurisdiction of those courts.

SECTION 23 - INTERPRETIVE ROLE OF HEADINGS

Headings only help readers find provisions; they do not expand, narrow, or change the agreement.

SECTION 24 - UPDATING THIS AGREEMENT

This page displays the latest Terms. In our sole discretion, we may post an amendment, update, or replacement, so periodic review is the user's responsibility. Material revisions receive legally required notice identifying the effective date. Later access or use constitutes acceptance.
